The position of management

Managing directors are liable.
Even for what they do not know.

Today a managing director spends the whole day on matters that no longer have anything to do with the actual business: data protection, IT security, access, backup, retention and evidence duties, contracts with service providers.

All of them belong to management’s organisational, supervisory and due-care duties. Whoever neglects them is liable – personally, with their own assets [R1]. And ignorance is no protection: negligence includes not knowing what you should have known [R3].

“An omission can lead to direct personal liability of management.”

— IT operating constitution, liability class HR1

The answer is in the preamble of our contracts.

Outsourcing the IT landscape is a deliberate management decision. IT is run under a binding operating constitution: every duty agreed within the scope is assigned to a domain, a responsibility and an evidence record. The orderly transfer of IT management serves to fulfil, document and relieve your responsibility.

Framework contract § 8: statutory responsibility of officers remains; the protective and relieving effect requires compliance with the operating constitution and the binding use of SIPES.

If the audit is tomorrow

No evidence means:
it never happened.

The burden of proof is on you. Whoever processes personal data must be able to demonstrate compliance with the principles [R5]. If the company claims damages, the managing director must prove that he acted with due care – not the other way round [R2].

Then only the documented chain counts: Who approved? Who checked? When did the last restore run – and did it work? A personal data breach must be reported to the authority where feasible within 72 hours [R5]. Whoever only starts searching then has already lost.

If the evidence is missing, the gap is documented anyway. Just not by you.

Truth is the best protection.

The ZAVET Charter defines truth as the agreement of statement, action and documented reality. SIPES records this agreement in day-to-day operations: every case with role, approval, review and result – within the agreed scope. Where the truth is documented, no defence is needed. The file is enough.

From the preamble of our contracts

Your company needs leadership. So does your IT.

01

The reality

Management has to steer the core business, develop it economically and answer for it reliably. At the same time, it is responsible for IT that works, is secure, controllable and orderly – in data processing, access, continuity and evidence. A complete IT landscape is not a technical topic. It is an ongoing structure of operation, protection and order that has to be led.

02

The decision

For companies outside the IT industry, running their own IT organisation is a special undertaking, intensive in staff, control and liability, that endangers the focus on the core business. Outsourcing it is a deliberate management decision: for relief, clear responsibilities, resilient continuity and IT that does not depend on the form of individual people.

“Outsourcing an IT landscape is a management decision – not a purchase of administrator hours.”

The operating model

ZAVET defines. SIPES executes. The network delivers.

Our contracts connect the space of order and execution of ZAVET with the space of performance and value creation of the Technology Center Network. Atlantic Bridge Exchange is the bridge between them.

point of contact

An example from practice

One request. One managed path. One traceable result.

An order for a new company website: this is how it runs through SIPES.

Message

You write by email what you need.

You

Mirroring

The assistant shows what it understood, where the matter goes and what is missing. You confirm or correct.

SIPES

Approval

Scope, period and price are confirmed in writing.

You and ABE

Set-up

The technical base provisioning runs in stages, each checked before the next – in suitable cases within minutes.

SIPES and network

Content and design

Specialists of the network design it with you; approvals stay with you.

Network

Care

Changes by message, each one recorded.

SIPES

The minutes refer to the technical base provisioning in automated standard cases. Content, design and overall duration depend on the project.

The benefit

What management gains.

Relief

A complex, permanent task is taken over and led.

Clear responsibilities

Who answers for what is defined beforehand – per domain.

Controlled operation

Changes, access and deviations follow managed paths.

Continuity

Replication, backup and recovery are part of the order, not an add-on promise.

Evidence

Logs, approvals and checks are documented traceably.

Predictability

Ongoing services within an agreed remuneration structure.

Statutory management duties remain with management. Orderly outsourcing supports their fulfilment and documentation.
